Referral Programme Terms

Introduction

These Referral Programme Terms (“Programme Terms”) govern the participation of Users of Founderz AI, S.L. (“Founderz”) in the Referral Programme referred to in Founderz’s general Terms of Use, available at https://founderz.com/terms-and-conditions/ (“Terms of Use”).

These Programme Terms apply in addition to, and as a supplement to, the Terms of Use, which continue to govern the relationship between the User and Founderz generally. In the event of any conflict between the two documents as regards the specific rules of the Referral Programme, these Programme Terms shall prevail.

Participation in the Referral Programme is voluntary and requires the User’s prior and express acceptance of these Programme Terms at the time the User accesses the corresponding functionality on the Platform. A User who does not accept these Programme Terms may not take part as a Referring User.

Definitions

“Referring User”: the User authorised by Founderz to take part in the Referral Programme and to whom a Referral Code is assigned.

“Referral Code”: the personal and non-transferable code assigned by Founderz to the Referring User for use within the Referral Programme.

“Balance”: the monetary amount that may be generated in favour of the Referring User under these Programme Terms.

Specific terms of the Referral Programme

  1. Territorial scope. In its current phase, the Referral Programme is offered only to Referring Users whose Country of contracting of the Services, as set out in the “Restrictions on use of the Programme and the Platform” section of the Terms of Use, is Spain, and in respect of referred purchases likewise contracted from Spain. Founderz may extend the territorial scope of the Referral Programme in the future, in which case it will update these Programme Terms accordingly.
  2. Nature of the relationship. Participation in the Referral Programme does not confer on the Referring User the status of agent, representative or commercial partner of Founderz, nor does it imply any employment or corporate relationship. The Referral Code is personal and non-transferable, and may not be assigned, shared or exploited commercially.
  3. Validity of the Referral Code. Only Referral Codes actually assigned by Founderz to a User authorised to take part in the Programme shall be valid for its purposes. Founderz may refuse to accept the validity of any Code not assigned by Founderz or used outside these Programme Terms.
  4. Generation of the Balance. The Balance generated in favour of the Referring User shall be calculated in accordance with the conditions published by Founderz from time to time (including the applicable amount or percentage and the eligible Programmes or purchases). The Balance shall not become final until Founderz has been able to verify compliance with the applicable conditions, including the absence of fraud or irregularity.
  5. Effect of withdrawal or refund on the Balance. If the referred User exercises their right of withdrawal under the “Right of withdrawal” section of the Terms of Use, or the purchase that gave rise to the Balance is refunded for any other reason, Founderz may adjust, reduce or cancel the Balance generated in favour of the Referring User, irrespective of whether that Balance had already been requested or paid. Founderz may carry out such an adjustment manually or by means of the automated mechanisms it has in place from time to time, and the choice between the two shall not affect the validity of the adjustment.
  6. Review and anomalies. Founderz may review the activity of the Referring User at any time. Where there are indications of fraud or anomalous activity (including, among others, self-referrals, duplicate accounts or coordinated patterns of use, or repeat behaviour following an adjustment under clause 5 above), Founderz may, without having to justify the detection method used: (i) withhold payment while the matter is reviewed; (ii) request additional documentation; and (iii) refuse payment, revoke the Code and/or suspend or close the Referring User’s account.
  7. Attribution conflicts. Where there is any doubt as to the origin of a purchase, including cases in which the buyer had previously been contacted by the Founderz sales team, Founderz shall resolve the conflict at its sole discretion, and this shall give rise to no right of claim on the part of the Referring User.
  8. Personal nature of the referred purchase. Only purchases made in a personal capacity by the referred User shall give rise to the generation of a Balance. Founderz may exclude from the Programme any purchase paid for, in whole or in part, by a legal entity or by a third party other than the User contracting the Service.
  9. Payment request. The Referring User may request payment of the Balance in accordance with the procedure established by Founderz, providing with each request the details needed to issue the corresponding invoice. Those details shall not be stored beyond what is strictly necessary to handle the request and to comply with statutory retention obligations.
  10. Minimum and/or cap. Founderz reserves the right to set, at any time, a minimum and/or maximum amount applicable to payment requests, which shall be published in the corresponding section of the Platform.
  11. Amendment and termination of the Programme. Founderz may amend, suspend or terminate the Referral Programme and/or these Programme Terms at any time, without prior notice and without any right to compensation, save in respect of Balances already generated and verified under clause 4 above.
  12. Taxation. The Referring User is solely responsible for complying with their own tax obligations arising from participation in the Programme, and Founderz provides no advice in this regard.
  13. Governing law and relationship with the Terms of Use. These Programme Terms are governed by the legislation in force and applicable in Spanish territory, and shall be construed together with the Terms of Use, in particular as regards jurisdiction and out-of-court dispute resolution.
